These Terms and Conditions ("Terms") govern your access to and use of the LnqHub platform, website, and services (collectively, the "Platform"), operated by LnqHub LLC ("Company," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About LnqHub

LnqHub is a referral-based hiring marketplace that connects employers ("Clients") with vetted professionals ("Referrers") who submit pre-screened job candidates. The Platform facilitates the introduction of candidates to Clients via Referrers and processes placement-based fees and referral bonuses.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By registering, you represent and warrant that all information you provide is accurate, current, and complete.

3. User Accounts and Roles

3.1 Account Types

The Platform supports three account types:

Client – An employer or hiring organization that posts roles and pays placement fees.
Referrer – A vetted professional who submits candidates and earns bonuses on successful placements.
Candidate – An individual referred by a Referrer for open roles on the Platform.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at info@lnqhub.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your account.

3.3 Identity Verification

All Clients and Referrers are required to complete identity verification through our third-party verification provider before they may transact on the Platform. We reserve the right to deny or revoke access for any account that fails verification.

4. Acceptable Use

You agree not to:

Submit false, misleading, or fraudulent candidate information.
Circumvent the Platform to arrange placements directly and avoid applicable fees.
Use the Platform to harass, discriminate against, or harm any person.
Attempt to reverse-engineer, scrape, or interfere with the Platform's technical infrastructure.
Violate any applicable local, national, or international law or regulation.
Impersonate any other person or entity.

5. Placement Fees and Referral Bonuses

Fees and bonuses are governed by the applicable Client Service Agreement and Referrer Agreement. In summary:

Clients pay a placement fee equal to 10% of the placed candidate's first-year salary, invoiced via Stripe upon confirmation of placement.
Referrers earn 5% of the placed candidate's first-year salary as a referral bonus, paid via Stripe Connect after the candidate meets employment conditions (30 days from start date).
All payments are processed through Stripe. By using the Platform, you agree to Stripe's applicable terms of service.

Fee structures are subject to change. Any changes will be communicated with reasonable advance notice and will not apply to placements already in progress.

6. Candidate Privacy and Data Masking

Candidate contact details are masked until a Client formally extends an offer. Clients acknowledge that they receive candidate information solely for the purpose of evaluating potential hires. Clients must not attempt to contact candidates through channels outside the Platform prior to extending an offer, or use candidate data for any purpose unrelated to hiring.

7. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are owned by or licensed to LnqHub. You may not reproduce, modify, distribute, or create derivative works without our prior written consent. You retain ownership of any content you submit (such as role descriptions or candidate endorsements), but grant LnqHub a non-exclusive, worldwide, royalty-free license to use such content to operate and improve the Platform.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LNQHUB DOES NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ANY PLACEMENT WILL BE MADE. LNQHUB IS NOT RESPONSIBLE FOR THE ACCURACY OF CANDIDATE INFORMATION SUBMITTED BY REFERRERS OR THE SUITABILITY OF ANY CANDIDATE FOR ANY ROLE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LNQHUB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO LNQHUB IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

10. Indemnification

You agree to indemnify, defend, and hold harmless LnqHub and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your breach of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice, if we determine that you have violated these Terms or that your continued use poses a risk to the Platform or its users. Upon termination, your right to access the Platform ceases immediately. Fees earned prior to termination remain payable in accordance with the applicable agreement.

12. Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Class action and jury trial rights are waived to the extent permitted by law.

13. Modifications

We may update these Terms from time to time. We will post the revised Terms on the Platform with an updated effective date and may notify you by email. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.

14. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and LnqHub.
Severability: If any provision is found unenforceable, the remainder continues in full force.
Waiver: Failure to enforce any provision is not a waiver of future enforcement rights.
Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
